Transaction Structuring &
Contractual Architecture

We do not approach engagements as contract drafting exercises. We structure the transaction first, and the contract follows as the outcome.

Overview

We Structure Transactions. Contracts Are the Outcome Not the Starting Point.

At Inrigo Legal Consultancy FZE, we do not approach engagements as contract‑drafting exercises. We structure transactions, align commercial intent with legal architecture, and then draft contracts that reflect that structure.

A contract is only as effective as the transaction it supports. Our role is to ensure that risk allocation, control, leverage, and enforceability are built into the deal itself not patched into clauses later.

Our approach

We begin before the document. Every engagement starts with understanding the commercial objective, the power dynamics between parties, financial exposure and recovery risk, operational dependencies, and exit scenarios if the relationship breaks down. Only once the transaction is properly structured do we draft the contract.

What transaction structuring means at Inrigo

Transaction structuring at Inrigo involves defining rights, obligations, and control at a commercial level, designing risk allocation that reflects real‑world behaviour, anticipating failure and not just success, and aligning legal mechanisms with business realities. The contract then becomes a tool of implementation and enforcement, not a theoretical document.

How our contracts are different

Because we structure transactions first, our contracts reflect commercial leverage accurately, allocate risk intentionally and not accidentally, survive breakdowns in relationships, and support enforcement and recovery if required. We draft with dispute, enforcement, and negotiation in mind, not just compliance.

A well‑structured transaction reduces friction. A poorly structured one creates disputes no matter how well drafted the contract appears.

How we typically engage
  • Strategic transaction advisory engagements
  • Project‑based structuring mandates
  • Retainer‑based commercial and corporate advisory

Every mandate is bespoke, confidential, and deeply contextual.

Our guiding principle

“We do not draft contracts to record deals. We structure deals so contracts protect outcomes.”
