Inrigo value proposition

At Inrigo, shareholder representation means standing firmly on the side of the owner, not just interpreting the law. Our role is to help shareholders understand what is really happening inside their business, what risks they are exposed to, and what choices they have; before situations spiral out of control.

We work closely with shareholders who feel uneasy, uncertain, or excluded from decision making, even when no formal dispute has yet arisen. Very often, shareholders sense that "something is wrong" long before it becomes obvious on paper. Our job is to step in early, ask the right questions, and bring clarity.

Representing Shareholders with Management

A key part of our work involves being present in shareholder discussions with management. We attend meetings alongside shareholders, help them frame the right questions, and ensure that management explanations are tested against facts, data, and contractual obligations. This helps rebalance conversations that are often dominated by operational narratives while ownership concerns remain unheard.

We also assist shareholders in reviewing financial statements, management reports, and internal updates. This review is not limited to checking numbers. We look for trends, stress points, inconsistencies, unexplained movements, dependency on shareholder funding, and early warning signals that may indicate deeper operational or governance issues.

Where reporting is weak or unclear, we design customised management reporting frameworks that give shareholders meaningful visibility into cash flow, margins, project risks, receivables, liabilities, and decision making accountability.

Risk Identification

Risk identification is central to everything we do. We help shareholders identify financial, operational, governance, and reputational risks, and then translate those risks into practical risk management plans.

This includes preparing for crises, whether arising from poor performance, regulatory exposure, management failure, shareholder disagreements, or external market shocks. Our focus is not only on solving problems, but on helping shareholders stay prepared for the worst case scenarios while still working towards the best outcomes.

Shareholder Funding Assesment

In many matters, shareholders come to us because they are worried about continued funding of the business. Management may seek shareholder loans or additional capital, often presenting these as urgent or unavoidable.

We assist shareholders in objectively assessing whether such funding is genuinely required, whether it addresses the root problem, and how the funding should be structured to protect ownership value, priority, and control. We also advise on when continued funding may no longer be prudent.

Decision Making

For shareholders who are highly risk averse or fatigued by uncertainty, we provide calm, structured guidance around strategic choices, including restructuring, dilution, partial exits, or complete exits. These decisions are never treated lightly.

We help shareholders understand the implications of each option, assess timing, and evaluate how exits or buy outs can be structured with minimal loss and maximum clarity.

Shareholder Rights Advisory

A critical part of our advisory involves mapping real world issues back to existing shareholder agreements and constitutional documents. We analyse how current conduct, risks, and decisions align with the rights and obligations already agreed upon.

Based on this, we create clear roadmaps for shareholders which set out what they can do, what they cannot do, what leverage exists, and what steps should follow if conditions worsen. This approach reflects how Inrigo operates in practice.

In 2023, we stepped in at the ownership level to take over the restructuring of an engineering conglomerate that was facing severe operational and financial distress. By stabilising operations, rebuilding reporting and controls, addressing governance failures, and guiding strategic decisions, we helped recover significant value and restore direction to the business.

What ultimately sets Inrigo apart is that we represent ownership interests, not just legal positions. Even in complex, high risk, and emotionally charged situations, we help shareholders see clearly, think calmly, and decide confidently.

This is the most critical aspect of our work, and the foundation on which Inrigo is built.

How we work

At Inrigo, we do not function as distant legal counsel. Instead, we work alongside shareholders as trusted advisors. Our approach is structured, practical, and deeply involved, designed to give shareholders clarity, control, and confidence at every stage of the business.

We begin by understanding the shareholder, not just the company

Every engagement starts with listening. We take the time to understand the shareholder's concerns, risk appetite, expectations, and long term objectives. Whether the concern is performance, governance, funding, or an uneasy sense that something is not right, we focus on what the shareholder is trying to protect: value, control, continuity, or exit.

We embed ourselves in the shareholder–management interface

We routinely participate in discussions between shareholders and management. Our role is to ensure that ownership interests are clearly articulated, the right questions are asked, and management decisions are assessed through an ownership lens. This helps rebalance conversations that often become overly operational while critical shareholder issues remain unaddressed.

We review information the way a shareholder should

We work with shareholders to review financial statements, management reports, project updates, and internal data. This is not a box ticking exercise. We look for patterns, stress points, unexplained movements, funding dependencies, and early warning signs. Where existing reporting does not give shareholders real visibility, we design customised management reporting frameworks that reflect the realities of the business and the risks that matter.

We identify risks early and prepare for them properly

Risk usually builds quietly and is not a sudden event. We help shareholders identify financial, operational, governance, and reputational risks before they escalate. Once risks are identified, we assist in creating clear risk management and mitigation plans, including crisis strategies and worst case scenario planning. Shareholders are guided through what could go wrong, how bad it could get, and what options would remain available in each scenario.

We advise on funding, loans, and capital decisions

When management seeks shareholder loans or additional funding, we help shareholders assess whether the request is necessary, whether it addresses the real problem, and how the funding should be structured to protect ownership value and priority. We also advise shareholders when continued funding may no longer be commercially sensible, and help them evaluate alternatives.

We map real world issues to legal rights and obligations

We analyse how current developments align with existing shareholder agreements and constitutional documents. This allows shareholders to clearly understand their rights, responsibilities, leverage points, and limitations. Based on this analysis, we create clear roadmaps that set out what actions are available now, what escalation paths exist, and what steps should follow if conditions worsen.

We help shareholders make difficult decisions with clarity

In situations involving high risk, uncertainty, or fatigue, we support shareholders in evaluating strategic choices such as restructuring, dilution, partial exits, buy outs, or complete exits. These decisions are approached calmly and methodically, with a clear understanding of consequences, timing, and value impact.

We stay involved, not reactive

Our work does not stop at advice. We remain engaged as situations evolve, ensuring that issues are addressed early and disputes are contained before they affect business continuity. This long term, hands on approach is central to how we protect shareholder interests.

At every stage, Inrigo works to ensure that shareholders are never passive observers in their own businesses. We help them see clearly, prepare thoroughly, and act decisively.
